Terms of service.

These Terms of Service ("Terms") govern your access to and use of Panoverse, an AI-assisted UGC video studio operated by Kolect, Inc. ("Panoverse", "we", "us"). They apply to anyone who creates an account, connects a third-party platform to Panoverse, or otherwise uses our services. Commercial terms for paid engagements (pricing, refunds, IP, liability) are set out in our Master Services Agreement (the "MSA"), which you accept separately when you add credit. Where these Terms and the MSA conflict, the MSA controls for the topics it covers. Privacy practices are described in our Privacy Policy.
Acceptance.
By creating an account, clicking "I agree," connecting a third-party platform, or using any feature of Panoverse, you agree to these Terms on behalf of yourself and, where you act for an organization, that organization. If you do not agree, do not use Panoverse.
Eligibility and accounts.
Panoverse is a B2B service for brands, agencies, and the people authorized to act on their behalf. You must be at least 18 and authorized to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at steven@kolect.ai if you suspect unauthorized use.
The service.
Panoverse produces UGC-style short-form video assets using an AI-assisted production pipeline under human-producer supervision, plus tooling for category research, performance attribution, and creator booking. The dashboard shows your briefs, drafts, deliverables, balance, and (where connected) ad and commerce performance. Specific deliverable scope, pricing, refunds, and ownership are governed by the MSA.
Acceptable use.
You agree not to use Panoverse to:
- Infringe. Submit prompts, references, or assets that infringe a third party's intellectual property, publicity, or privacy rights.
- Mislead. Generate content that is deceptive, fraudulent, or impersonates a real person without their consent.
- Harm. Create content depicting minors in sexual contexts, non-consensual sexual content, content inciting violence, or other content prohibited by our AI subprocessors.
- Scrape or attack. Reverse-engineer, scrape, or interfere with Panoverse's infrastructure beyond the documented APIs.
- Resell. Resell access to Panoverse or to the underlying AI providers without a written agreement with us.
We may suspend or terminate accounts that violate this section. The acceptable-use and prohibited-use rules of the third-party AI model providers we route prompts to flow through to you when you submit those prompts — you are responsible for keeping your inputs within those rules.
Your content.
You retain all rights in the briefs, brand assets, product photos, reference videos, and other content you submit ("Customer Content"). You grant Panoverse a worldwide, non-exclusive license to host, copy, process, and transmit Customer Content as required to operate the service — including sending it to the AI subprocessors named in the Privacy Policy — and a non-exclusive license to use delivered creatives in our showreel as described in the MSA. You represent that you have the rights necessary to submit the Customer Content you upload.
AI-generated content.
Outputs generated by AI providers may resemble outputs generated for other Panoverse customers, may be inaccurate, and may not be eligible for copyright protection in some jurisdictions. You are responsible for reviewing every deliverable before publishing it. Where the MSA assigns ownership of final delivered assets to you, that assignment is subject to the underlying model providers' terms, which we pass through to you in the MSA.
Connected platforms.
Panoverse integrates with third-party ad and commerce platforms so we can report on the performance of the creatives we deliver. Each integration is opt-in, made through the platform's own OAuth flow, and can be disconnected at any time from dashboard › integrations. The exact data fields we read from each platform are enumerated in the Privacy Policy, section 04; this section sets out the contractual terms.
Meta Ads (Facebook & Instagram).
By connecting a Meta Ads account, you authorize Panoverse to call the Meta Marketing API on your behalf, using only the scopes you grant on Facebook's OAuth consent screen (currently ads_read, business_management, pages_show_list, and instagram_basic), to read campaign hierarchy, performance Insights, and creative metadata for the ad accounts you select. You represent that you are authorized to grant these permissions for the ad accounts and Pages you connect.
Your use of Panoverse's Meta integration is also governed by Meta's Platform Terms, Developer Policies, and Meta's Advertising Policies. Panoverse does not use Meta data to retarget users, build custom audiences, or run advertising of our own. We do not transfer Meta data to any party other than the infrastructure subprocessors named in the Privacy Policy. You can disconnect at any time from the dashboard or by revoking Panoverse at facebook.com/settings/?tab=business_tools; cached Meta data is purged within 30 days.
Google Ads.
By connecting a Google Ads account, you authorize Panoverse to call the Google Ads API on your behalf, using only the OAuth scopes you grant on Google's consent screen, to read customer ID, campaign hierarchy, performance metrics, and creative metadata for the customer IDs you select.
Your use of Panoverse's Google integration is also governed by the Google APIs Terms of Service and the Google API Services User Data Policy, including the Limited Use requirements: Panoverse's use and transfer of information received from Google APIs adheres to the Limited Use requirements, including the prohibition on using Google user data for advertising of our own and the prohibition on transferring Google user data to anyone other than the subprocessors named in the Privacy Policy. You can disconnect at any time from the dashboard or revoke the app from your Google account; cached Google Ads data is purged within 30 days.
TikTok Ads.
By connecting a TikTok Ads account, you authorize Panoverse to call the TikTok Marketing API on your behalf using the scopes granted on TikTok's consent screen. Your use of this integration is also governed by TikTok's Business Platform Terms. Disconnection and 30-day deletion behavior mirrors the Meta and Google sections above.
Shopify.
By connecting a Shopify store, you authorize Panoverse to read shop metadata, product catalog entries, and order summaries you authorize via Shopify's OAuth flow. Your use of this integration is also governed by Shopify's API Terms. Disconnection and 30-day deletion behavior mirrors the sections above.
Compliance with platform terms.
You are responsible for keeping the third-party accounts you connect to Panoverse in good standing. Panoverse's ability to deliver performance reporting and attribution depends on continued access to those platforms; if a platform suspends, rate-limits, or revokes access, those features may degrade or stop working without liability to Panoverse. You must not use Panoverse to circumvent any restriction imposed by a connected platform on your account.
Public-data research.
Panoverse uses public sources — including the Meta Ad Library, public TikTok, Instagram, and YouTube posts, and Meta / TikTok / Google ads explicitly published by their advertisers — to identify category-level creative trends. We process this public data through standard public-data research infrastructure under the relevant platform's public-content terms. We do not attempt to identify or contact any specific viewer of the underlying ads.
Fees and refunds.
Pricing, prepaid balances, automatic top-up, refunds, and chargebacks are governed by Sections 3, 3A, and 6 of the MSA. The MSA controls for any conflict between these Terms and the MSA on commercial topics.
Disclaimers.
Panoverse is provided "as is" and "as available." Except as expressly set out in the MSA, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that AI outputs will be accurate, original, or perform on any specific advertising channel. Connected-platform data is supplied by the platform; we don't warrant its accuracy, completeness, or timeliness.
Limitation of liability.
To the maximum extent permitted by law, Panoverse is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption. Our aggregate liability under these Terms is limited as set out in Section 9 of the MSA.
Indemnification.
You agree to defend and indemnify Panoverse against claims arising out of (a) Customer Content you submit, (b) your use of the service in violation of these Terms, the MSA, or applicable law, or (c) your violation of a connected platform's terms.
Suspension and termination.
We may suspend or terminate access for violation of these Terms, for material breach of the MSA, or to comply with law. You may stop using Panoverse at any time by disconnecting your platforms and emailing us to delete your account. Termination consequences for paid engagements are governed by Section 10 of the MSA.
Changes.
When we make a material change to these Terms, we'll update the effective date at the top of this page and notify active brand admins by email. Continued use after a change means you accept the updated Terms.
Governing law and disputes.
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Disputes are resolved as set out in Section 11 of the MSA (good-faith negotiation, then binding JAMS arbitration in San Francisco). Either party may seek injunctive relief in any court of competent jurisdiction to protect its IP or confidential information.
